Terms of Use

1Definitions

• “UTS” or “we”: U T S FOR TRADING AND SERVICES L.L.C., Commercial Registration No. 232959, Doha, State of Qatar.
• “The website”: www.uts.qa and its subdomains.
• “The services”: consulting, industrial and environmental licensing services, feasibility studies, and AI services.
• “The products”: our software delivered as a service — including Jadwal, Tadween and Rafea — together with their applications and interfaces.
• “Customer” or “you”: anyone who visits the website, messages us, subscribes to a product or contracts for a service.

2Eligibility

Our services are aimed at businesses, business owners and persons of legal age. By using them on behalf of an entity, you confirm that you are authorised to bind that entity to these terms.

3Services and products

We deliver our services with recognised professional care and in line with the scope of work agreed in writing. Timelines and deliverables quoted in proposals are estimates unless expressly described as binding.

We develop our products continuously and may add or modify features. Where a change removes a material feature you rely on, we give you reasonable notice before it takes effect.

4Accounts and credentials

You undertake to provide accurate, complete details when opening an account and to keep them current. You are responsible for the confidentiality of your credentials and for all activity under your account, and must notify us as soon as you become aware of any unauthorised use.

5Fees, subscription and renewal

Fees for each service or subscription are stated in its proposal or pricing page and fall due in the currency stated there. Unless stated otherwise:

• Subscriptions are paid in advance for their term and renew automatically for an equal term unless you notify us of non-renewal before it ends.
• You may cancel renewal at any time; cancellation takes effect at the end of the current term with no refund of what has been paid for it, unless a contract or mandatory rule provides otherwise.
• Quoted fees exclude taxes and government charges where due; these are added.
• We may suspend the service after written notice if payment is more than thirty days overdue.

6Acceptable use

You undertake not to use the website, services or products for:

• Anything contrary to the laws of the State of Qatar or the laws applicable to you.
• Attempting to breach, disrupt, or circumvent access controls in our systems, or to test them without written permission.
• Reverse engineering, copying, deriving works from, reselling the software, or renting access to it to unauthorised parties.
• Uploading content you have no right to process or publish, or personal data belonging to others without a legal basis.
• Sending unsolicited commercial messages through WhatsApp channels operated via us, or breaching Meta and WhatsApp Business policies.
• Using AI outputs for deception, impersonation or the production of false documents.

7Your content and its ownership

The data and documents you upload or send remain yours. You grant us a non-exclusive licence, limited to the term of the service, to process, store and transmit that content to the extent necessary to provide, support and secure the service for you — and for nothing else.

You confirm that you have the right to make this content available to us, and that our processing of it infringes no third-party right.

8Intellectual property

The source code, designs, interfaces, documentation, methodologies, trade marks, names and logos relating to the website and the products are owned by or licensed to UTS. Using the service transfers none of them to you beyond a limited, non-exclusive, non-transferable right of use for the term of your subscription.

Components we publish as open source are governed solely by the licences published with them.

Deliverables prepared specifically for you (such as studies and reports) become your property upon payment in full, while we retain our tools, methodologies and generic templates.

9Third-party services

Some of our features depend on third-party services — including Meta's WhatsApp Business Platform, payment gateways, and AI model and hosting providers. Your use of those features is subject to those parties' terms alongside ours, and we cannot guarantee their continued availability if they change their policies or discontinue their service.

10AI outputs

Some of our products generate outputs with the assistance of AI models. Those outputs are an aid, not a substitute for professional accounting, legal or engineering judgement, and they can be wrong.

You undertake to review them before relying on them, submitting them to any official body, or basing a decision on them. UTS does not bear the consequences of adopting them unreviewed.

11Availability and maintenance

We aim to keep our products available at all times but do not guarantee uninterrupted continuity. We may suspend the service temporarily for maintenance, updates or security reasons, and we give advance notice of planned downtime wherever possible.

12Disclaimer of warranties

The services and products are provided “as is” and “as available”. Save as stated in these terms, in a signed contract between us, or under a mandatory rule, we give no express or implied warranty that the service is fit for a particular purpose, free of error, or will achieve any specific commercial result.

13Limitation of liability

UTS is not liable for indirect or consequential damage, nor for loss of profit, loss of data or business interruption, whatever the cause.

In all cases our total liability to you for any claim shall not exceed the total amount you actually paid us in the twelve months preceding the event giving rise to the claim.

Nothing in this clause excludes or limits what may not lawfully be excluded or limited, such as fraud or gross negligence.

14Indemnity

You undertake to indemnify UTS against claims, damages and costs arising from your breach of these terms, or from content you made available to us without the right to do so.

15Suspension, termination and data export

We may suspend or terminate the service if you materially breach these terms and do not remedy the breach within fifteen days of notice, or where a judicial order or mandatory rule requires it.

On termination for any reason you have ninety days to export your data from our products in a readable format, after which it is deleted or anonymised in line with the retention periods in the Privacy Policy.

16Confidentiality

Each of us undertakes to keep confidential the other's information learned through this relationship, not to disclose it or use it for any other purpose. These obligations survive the end of the engagement.

17Force majeure

Neither of us is liable for delay or failure caused by an event beyond its reasonable control, such as natural disasters, war, interruption of telecommunications or power networks, or orders of the authorities.

18Changes to these terms

We may amend these terms. We publish the amended version on this page and change the “Last updated” date. Material amendments are notified a reasonable time before they take effect, and continuing to use the service after that date constitutes acceptance.

19Governing law and dispute resolution

These terms are governed by and construed in accordance with the laws of the State of Qatar. Any dispute arising from them shall first be pursued amicably for thirty days; failing that, the courts of the State of Qatar have jurisdiction.

The Arabic text of these terms prevails in the event of any discrepancy with a translation.
